Terms of Service

1. The Service

ERP Nexl is business management software offered as a subscription (software-as-a-service). Depending on the modules you purchase, it provides sales and purchase invoicing, inventory and parties management, point of sale, double-entry accounting, and HR and payroll features.

We continually improve the Service; features may be added, changed, or replaced over time. Where a change materially reduces functionality of a module you have paid for, we will tell you in advance where reasonably possible.

2. Accounts

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account, including users you invite into your workspace. Notify us promptly of any unauthorised use.

3. Subscriptions, billing and taxes

The Service is sold as per-module subscriptions (for example Sale and Purchase, Accounting, HR). Each purchased module runs for the billing term you select and can be renewed independently. Prices shown at checkout are the prices charged.

Card payments are processed by our payment providers. Where payments are processed by Paddle.com, Paddle acts as Merchant of Record — your invoice is issued by Paddle, and Paddle handles payment-related enquiries, taxes and refunds for that transaction under our Refund Policy.

If a subscription is not renewed by its end date, access to that module's features ends. Your data is retained per our Privacy Policy so renewing restores access.

4. Free trial

New accounts may receive a one-time free trial covering the full product. No payment method is required for the trial; at its end, continued use requires purchasing the modules you need.

5. Your data

The business data you enter into the Service (invoices, contacts, inventory, accounting entries, employee records, and similar) remains yours. You grant us the rights needed to host, process, back up and display that data solely to operate the Service.

You are responsible for the legality and accuracy of the data you process in the Service, including compliance with employment, tax and accounting rules that apply to your business.

6. Acceptable use

You agree not to:

• use the Service for unlawful purposes or to process data you have no right to process;
• probe, disrupt, or circumvent security or usage limits of the Service;
• resell, sublicense or provide the Service to third parties as your own offering without our written agreement;
• upload malicious code or attempt to access other tenants' data.

7. Availability and support

We aim to keep the Service available and performant, but it is provided “as is” without a guaranteed uptime level. Nightly backups of the platform database are taken. Support is available through the contact page at erpnexl.com/contact.

8. Liability

To the maximum extent permitted by law, ERP Nexl is not liable for indirect or consequential losses, loss of profits, or loss of data caused by events outside our reasonable control. Our total liability for claims arising from the Service is limited to the amount you paid for the Service in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot lawfully be limited.

9. Termination

You may stop using the Service at any time; subscriptions simply run to the end of their paid term (see the Refund Policy for refund rules). We may suspend or terminate accounts that materially breach these Terms, after notice where practicable.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on the website or by email; continued use after a change takes effect constitutes acceptance.
